2. Eligibility & Scope

Business Use Only. The Services are intended for businesses and authorized representatives, age 18+.

Territory. Primarily U.S. businesses unless otherwise agreed in writing.

Excluded Uses/Industries. No emergency services (e.g., 911), crisis hotlines, medical triage; no adult, gambling, high-risk financial services, or any unlawful purpose.


3. What the Services Do (High-Level)

Nextaskpro provides AI-assisted receptionist and messaging functions, including: inbound/outbound call handling, missed-call-to-text, transcriptions, SMS/WhatsApp/chat handling, lead capture and qualification, appointment booking, CRM syncing (e.g., GoHighLevel), analytics, reporting, and related automations.

No Professional Advice. Not medical, legal, financial, or professional advice.

Not for Emergencies. Must not be used for emergencies.


4. Accounts, Security & Access

Provide accurate info and keep credentials confidential.

You are responsible for all account activity.

Enable MFA where available.

We may suspend/terminate access for security, legal, or policy reasons (§17).


5. Acceptable Use

You will not:

Violate laws or third-party rights.

Send spam, illegal, harmful, or deceptive content.

Process sensitive data (health, biometric, PCI) without written authorization and safeguards.

Scrape, benchmark, interfere with, or reverse-engineer the Services.

Circumvent limits or controls.

You are responsible for your End Users (callers, leads, customers) and their data.


6. Messaging, Calling, Consent (TCPA/10DLC) & Recording

Consent Required. You must obtain/document all required consents under TCPA, state mini-TCPA, carrier 10DLC rules, CAN-SPAM, etc.

Opt-Out. Honor “STOP” and similar requests immediately.

10DLC Registration. Complete all required sender/brand/campaign registrations.

Recording/Transcription. You are responsible for legally sufficient notice/consent (two-party consent states). We may provide default notice prompts, but compliance is your job.


7. Third-Party Services & Subprocessors

We rely on third-party providers (e.g., Stripe for payments, GoHighLevel for CRM, hosting, analytics). Your use may be subject to their terms. We are not responsible for third-party services outside our control.


8. Plans, Billing & Taxes

Subscriptions. Auto-renew monthly via Stripe until canceled.

Inclusions & Overage. Each plan includes defined usage (minutes/messages). Overage rates apply as shown on your order form or pricing page.

Trials. Trials convert to paid unless canceled before expiration.

Refunds. Non-refundable except for billing errors required by law.

Price Changes. 30 days’ notice; changes apply to next renewal.

Taxes. Excludes taxes; you’re responsible.

Late/Failed Payments. Suspension after 7 days, termination after 21 days.


9. Support, Maintenance & SLA (Light)

Support Hours: Mon–Fri, 9–5 PT (best-effort outside hours).

Response Targets (Non-Binding): P1 (down) → 4 business hrs; P2 → 1 business day.

Maintenance: May be scheduled or emergency. No uptime guarantee.


10. Beta & Preview Features

Beta features are as-is, may change or end, excluded from warranties or SLA.


11. Your Content, End-User Data & Privacy

Your Content. You retain ownership of Customer Content (inputs, contacts, transcripts).

Outputs. You get a non-exclusive license to use AI outputs. Provided “as-is.”

No Model Training by Default. We don’t train models on your data unless you opt-in.

Privacy Policy. Incorporated at nextaskpro.com/privacy


12. Intellectual Property

Our Rights. We (and licensors) own all rights in the Services, software, logos, docs.

License. We grant you a limited license to use the Services.

Feedback. If you provide suggestions, you grant us a royalty-free license to use them.


13. Fair Use, Rate Limits & API

We may enforce quotas, rate limits, and fair-use policies. You will not exceed or bypass them.


14. Confidentiality

Each party will keep the other’s confidential information safe, use only as needed, and protect with reasonable measures.


15. Compliance & Export

You will comply with privacy, telecom, consumer protection, and export/sanctions laws. No use from embargoed countries or restricted parties.


16. Data Retention, Security & Backups

Retention. Call/chat transcripts up to 24 months; billing records 7 years; per our Privacy Policy.

Security. Industry-standard safeguards (TLS, MFA, access controls).

Backups. Commercially reasonable backups/DR practices.


17. Suspension & Termination

We may suspend/terminate immediately for non-payment, violations, risks, or legal compliance. You may cancel anytime (no refunds).

Post-Termination Export. Customer Content available read-only/export for 30 days.


18. Disclaimers

Provided “as-is/as-available.” No warranties. AI may be inaccurate. You are responsible for review and final decisions.


19. Limitation of Liability

No Indirect Damages. Neither party liable for indirect, consequential, punitive damages.

Cap. Our liability is capped at fees paid in the 12 months before the claim.


20. Indemnification

By You. You indemnify us for claims from your content, users, or law violations.

By Us. We indemnify you only for U.S. IP infringement claims caused by our Services (not misuse, your configs, or third-party combos).


21. Dispute Resolution; Arbitration; Class-Action Waiver

Informal Resolution. 30-day good faith attempt first.

Binding Arbitration. Administered by JAMS (or AAA fallback), seat in Los Angeles County, CA, English language.

Class-Action Waiver. Only individual claims allowed.

Small Claims. Either party may use small-claims court in Los Angeles County.

Opt-Out. 30 days to opt-out of arbitration by email to [email protected].


22–26. (Standard Boilerplate)

Changes (§22). 30-day notice, effective on renewal.

Assignment (§23). You can’t assign without consent; we can assign in M&A.

Notices (§24). By email, in-app, or posted. Legal notices → [email protected] and mailing address.

Force Majeure (§25). No liability for events outside control.

Miscellaneous (§26). Entire agreement, severability, no waiver, headings non-operative, precedence order = Order Form → ToS → Privacy Policy.
