These Terms of Service (“Terms”) govern your access to and use of the services provided by Nextaskpro (“Company,” “we,” “our,” or “us”). By using our AI receptionist and chatbot services (the “Services”), you agree to be bound by these Terms.
1. Eligibility & Accounts
You must be at least 18 years old to use the Services.
You agree to provide accurate and complete information when creating an account and to keep it up to date.
You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
You agree not to misuse the Services, including but not limited to disrupting, reverse-engineering, scraping, or reselling the Services without our written authorization.
2. Service Description
Nextaskpro provides AI-powered receptionist and chatbot solutions that help businesses handle calls, messages, and customer interactions. We may update or modify the Services at our discretion to improve functionality, security, or compliance.
3. Business Use Only
The Services are intended for business and professional use. You represent that you are using the Services on behalf of a business or organization and have authority to bind that entity.
4. Subscriptions, Fees & Payments
The Services are offered on a subscription basis.
Payments are processed securely through Stripe or another payment processor we designate.
Fees are billed in advance on a monthly (or otherwise stated) basis.
Refunds: Fees are non-refundable except where required by law or where a written trial/guarantee is explicitly stated in your order form or plan description.
Changes: We may change pricing or plan features on a go-forward basis with reasonable notice. If you continue using the Services after the effective date of the change, you accept the new pricing/features.
We may suspend or terminate access if payment fails or is delinquent.
5. Data Handling & Privacy
Your use of the Services is also governed by our Privacy Policy at www.nextaskpro/privacy. By using the Services, you consent to our collection, use, disclosure, and processing of information as described in that policy.
6. AI Outputs & Limitations
The Services may automate responses, appointment bookings, and call routing.
No Guarantees: AI outputs may be inaccurate, incomplete, or context-limited.
Your Responsibility: You are responsible for reviewing outputs and for any business decisions based on them.
7. Acceptable Use; Compliance
You agree not to use the Services to:
Collect or process sensitive personal information (e.g., precise health, financial, or biometric data) without appropriate legal bases, consent, and safeguards.
Violate laws or regulations, including TCPA, CAN-SPAM, DNC, GDPR, CCPA/CPRA, or carrier policies.
Send spam, abusive, or unlawful communications; or engage in fraud, deception, or harassment.
You are solely responsible for ensuring your use complies with all applicable laws in your jurisdiction(s).
8. Call/Text Recording, Monitoring & Consent
The Services may record or transcribe calls, voicemails, and messages for quality, routing, and reporting. You are responsible for obtaining and documenting all required consents from your customers/end users under applicable call-recording, wiretapping, and privacy laws (e.g., two-party consent states). Where we provide consent prompts, you must configure and use them correctly and verify they meet your legal obligations.
9. Intellectual Property
All software, workflows, models, designs, trademarks, and content related to the Services are owned by Nextaskpro or its licensors. Subject to these Terms and your timely payment of fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services during your subscription solely for your internal business purposes. You may not copy, modify, distribute, host, sell, rent, or create derivative works from our IP without our written permission.
10. Feedback
If you provide suggestions or feedback, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use and incorporate them without restriction or compensation.
11. Third-Party Services & Carriers
Certain features may rely on third-party services (e.g., telephony carriers, messaging providers, calendars, CRMs, payment processors). We are not responsible for third-party services, their availability, or their terms. Your use of third-party services may be subject to their separate terms and policies.
12. Term, Suspension & Termination
These Terms remain in effect until terminated.
We may suspend or terminate access if you breach these Terms, fail to pay fees, or misuse the Services.
You may cancel at any time, effective at the end of your current billing period. No refunds for partial periods unless required by law or expressly stated in your plan.
Upon termination or expiration, your right to access the Services ends. We may delete or restrict access to your data after a reasonable retention period, except where we are legally required to retain it.
13. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL NEXTASKPRO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, OR DATA; OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO Nextaskpro FOR THE SERVICES IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
15. Indemnification
You will defend, indemnify, and hold harmless Nextaskpro and its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your violation of laws or these Terms; or (c) your end users’ content, data, or interactions.
16. Export & Sanctions
You represent that you are not located in, and will not use the Services from, any embargoed country or in violation of applicable export control or sanctions laws.
17. Governing Law; Dispute Resolution
These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-law rules. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in San Francisco County, California for any dispute not subject to arbitration.
Optional (add if you want arbitration later): If you choose to add binding arbitration and class-action waiver, we can drop in a standard AAA/JAMS clause.
18. Changes to the Services or Terms
We may update the Services or these Terms from time to time. If we make material changes, we will provide notice via the Services, our website, or email. Your continued use after the effective date of the changes constitutes acceptance.
